Job Description

Mundi Ventures is looking for a new corporate lawyer to join our growing international team. You will be highly involved in the legal procedures of the fund investment activities as well as in the supervision and coordination of the legal issues of the management entity. Reporting directly to our Chief Legal Officer, you’ll have exposure to all stakeholders of the team, including the investment team and partners of the fund, portfolio company management teams, other VC firms with whom we may co-invest, and the compliance team. The successful candidate will be organized, able to think critically and take decisions, have attention to detail, and most importantly, be proactive and problem-solving oriented.

We’re a small team, and this is an opportunity to have outsize impact in a growing international venture capital organization with €450M AUM.

The position is based in Madrid or Barcelona.

Responsibilities

This role will:

  • Act and advise on a wide range of commercial law matters in general and capital increases and investment instruments in domestic and international start-ups in particular.
  • Draft and review documents and contracts for the fund's investment activity, including shareholder agreements, investment agreements, share purchase agreements, convertible loan notes/SAFEs, side letters to investment documents and other documentation related to investment transactions.
  • Prepare, coordinate and manage the legal and regulatory documentation and procedures required for the opening of new funds.
  • Coordinate and supervise regulatory compliance and systematic reporting to the CNMV by an outsourced team.
  • Engage in and prepare other documentation for any regulatory filings for the fund.
  • Participate as acting secretary in the fund's internal meetings: investment committees and supervisory committees among others.
  • Execute, coordinate and supervise the internal control and legal risk control procedures of the entity and its funds including the supervision of investment policies and legal limits.
  • Manage communications with limited investors on legal and tax issues related to their engagement and returns.

Qualifications

Candidates need to show potential for, or demonstrate examples of:

  • 3-5+ years of professional experience in similar positions, preferably with at least 2 years of experience in a law firm specialising in advising on mergers and acquisitions (M&A) and corporate law.
  • Degree in Law and enabling Master's degree to lawyer profession in Spain.
  • Knowledge of general and specific commercial practice, jurisprudence and legislation.
  • Ability to manage and lead teams.
  • Advanced level of Spanish & English.
  • High initiative in prior activities and problem-solving mindset
  • Attention to detail
  • Comfort operating independently
  • Authorization to work in Spain now and in the future.

Bonus Qualifications

Extra points if you have:

  • Previous experience with companies in the Private Equity & Venture Capital industry and knowledge of venture capital regulatory compliance
  • Knowledge of Capital Markets Spanish regulation.
  • Second (or third) language
